Welcome to DTM Technology R&D. These Terms & Conditions ("Terms") govern your use of our website and the purchase of our products and services, including UAV hardware, software, and R&D consultancy. By placing an order or using our services, you agree to be bound by these Terms.
1. General Provisions
1.1 Scope: These Terms apply to all B2B transactions, quotations, and service agreements provided by DTM Technology R&D. 1.2 Eligibility: You represent that you are purchasing products for professional, commercial, or industrial use and possess the necessary licenses to operate UAV technology in your jurisdiction.
2. Quotations and Orders
2.1 Validity: All quotations provided by us are valid for 30 days unless otherwise stated. 2.2 Acceptance: An order is considered accepted only when we issue a formal Proforma Invoice (PI) and receive the initial deposit. 2.3 Customized R&D: For R&D projects, specifications must be finalized and signed off in writing before production begins. Any subsequent changes may incur additional costs and delays.
3. Payment Terms
3.1 Method: Payment must be made via T/T (Telegraphic Transfer) to our designated bank account. 3.2 Structure: A 50% advance deposit is required to initiate the order. The remaining 50% balance must be cleared before shipment. 3.3 Bank Fees: All intermediary and sender bank charges are the responsibility of the Buyer. Please ensure the "OUR" instruction is used during transfer.
4. Shipping and Delivery (FOB)
4.1 Terms: All international shipments are conducted under FOB Shenzhen (Incoterms 2020) unless otherwise specified. 4.2 Risk Transfer: Risk of loss or damage passes to the Buyer once the goods are delivered to the carrier at the port of departure. 4.3 Lead Times: Delivery dates are estimates. DTM Technology R&D is not liable for delays caused by supply chain disruptions, customs inspections, or Force Majeure.
5. Intellectual Property (IP)
5.1 Ownership: DTM Technology R&D retains all rights, titles, and interests in its proprietary technology, software code, firmware, and industrial designs. 5.2 License: Purchase of a product grants the Buyer a non-exclusive, non-transferable license to use the embedded software for the intended purpose of the hardware. Reverse engineering or unauthorized copying is strictly prohibited.
6. Regulatory Compliance and Use
6.1 Export Control: Our products may be subject to dual-use export control regulations. The Buyer agrees to comply with all applicable export laws and will not divert products to prohibited entities or regions. 6.2 Operation: The Buyer is solely responsible for complying with local aviation authorities (e.g., FAA, EASA, CAAC) regarding drone registration, pilot licensing, and flight restrictions.
7. Limitation of Liability
7.1 DTM Technology R&D shall not be liable for any indirect, incidental, or consequential damages (including loss of profits or data) arising from the use or inability to use our products. 7.2 Our total liability for any claim shall not exceed the amount paid by the Buyer for the specific product or service giving rise to the claim.
8. Governing Law and Dispute Resolution
8.1 These Terms shall be governed by the laws of the People’s Republic of China. 8.2 Any disputes arising from these Terms shall be submitted to the Shenzhen Court of International Arbitration (SCIA) for resolution.
